TERMS AND CONDITIONS OF USE

These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you (“User”) and Saha Exchange LLC (“Saha Exchange,” “we,” “us,” or “our”) governing your access to and use of the Saha Exchange mobile application, website, and all associated services and content (collectively, the “Platform”). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not access or use the Platform.

1. DEFINITIONS & INTERPRETATION

The following definitions apply throughout these Terms. The “Platform” refers to the mobile and web-based application operated by Saha Exchange. An “Owner” is a User who lists items for rental or sale. A “Renter” is a User who rents an item from an Owner. An “Item” is any clothing, accessory, or goods listed on the Platform. The “Rental Period” refers to the timeframe for which an Item is rented. A “Deposit” is the amount held as security for the Item during the Rental Period. “Fees” include rental charges, service fees, and applicable taxes. “Shippo” and “Uber Direct” refer to third-party logistics services integrated into the Platform. “Sendbird” is a third-party messaging service used to facilitate communication between Users. A “Dispute” means any claim, disagreement, or issue relating to a transaction.

2. USER ELIGIBILITY & ACCOUNT

To access and use the Platform, Users must be at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts. Users must provide accurate identification and valid payment details upon registration. Users represent and warrant that all information provided is true and accurate, and that they will promptly update any changes to such information. Users are solely responsible for maintaining the security of their account credentials. Saha Exchange reserves the right to perform identity or background verification and may suspend or terminate accounts for any violation of these Terms or upon discovery of fraudulent activity.

3. LISTINGS, PRICING & DEPOSITS

Owners are responsible for accurately listing each Item, including its condition, location, retail value, and necessary shipping details such as weight and dimensions. Rental pricing, permitted use parameters, and the length of the Rental Period must be clearly defined by the Owner. The Deposit set by the Owner must not exceed the retail value of the Item. Saha Exchange collects the Deposit upon booking and holds it in escrow until forty-eight (48) hours after the Item is returned and inspected. Saha Exchange may release, deduct from, or continue to hold the Deposit in the event of damage claims or Disputes pending resolution.

4. PAYMENTS & PLATFORM FEES

Renters shall pay the total transaction cost, which includes the rental fee, Deposit, shipping charges, and applicable taxes. All fees are non-refundable unless otherwise required by law. Sellers are responsible for a twelve percent (12%) platform service fee deducted from the total rental or sale proceeds. Saha Exchange will remit the net amount to the Owner following return and satisfactory inspection of the Item. All payment processing is facilitated by Stripe, and Users agree to be bound by Stripe’s terms and conditions. Users are responsible for all chargebacks, reversals, and payment disputes and shall indemnify Saha Exchange from any liability related to payment failures or disputes. Users are responsible for all applicable taxes and reporting requirements related to their Platform activities.

5. SHIPPING & LOGISTICS

Shipping and delivery services are provided via third-party providers including Shippo and Uber Direct. Buyers are responsible for paying shipping costs at checkout. Renters are responsible for both outbound and return shipping fees. Shipping fees are determined via automated integration with courier APIs and may vary based on location, size, and service level. Ownership risk and liability for Items in transit transfer at the following points: from Owner to courier upon pickup, from courier to Renter upon delivery confirmation, from Renter to courier upon return pickup, and from courier to Owner upon final receipt. Renter assumes primary liability for loss or damage occurring in transit and must maintain appropriate insurance coverage. Items must be properly packaged according to Platform guidelines. Owners must report any claim related to shipping issues within forty-eight (48) hours of the relevant pickup or delivery with supporting documentation. Saha Exchange reserves the right to select shipping providers and methods at its discretion.

6. ITEM USE, CONDITION & RETURN

Renter agrees to use Items in accordance with listing descriptions and to return them in original condition by the expiration of the Rental Period. Modification of Items is strictly prohibited. Owners are responsible for documenting the condition of Items before and after the Rental Period. Claims must be submitted to Saha Exchange within forty-eight (48) hours of the return, supported by photographic evidence. Late returns are subject to additional fees calculated on a per-hour or per-day basis. Saha Exchange may deduct such amounts from the Deposit. Saha Exchange will mediate Disputes valued under five hundred dollars ($500). Disputes in excess of this threshold shall be resolved through arbitration.

7. DEPOSIT & DAMAGES

The Deposit may be used by Saha Exchange to cover damage, excessive wear, missing accessories, or failure to return the Item. Any charges against the Deposit must be substantiated by the Owner with documented evidence. The remaining balance of the Deposit, if any, shall be refunded to the Renter within fourteen (14) days. If a Dispute arises, Saha Exchange may hold the Deposit in escrow until final resolution.

8. USER CONTENT & INTELLECTUAL PROPERTY

Users grant Saha Exchange a non-exclusive, limited license to use submitted content, including photos, descriptions, and ratings, solely for the purpose of providing Platform services. Users retain all intellectual property rights in their content, and unauthorized use of such content by other Users is strictly prohibited.

9. PROHIBITED CONTENT & ACTIVITY

Users shall not list or transmit any content or Item that is illegal, infringing, hateful, fraudulent, counterfeit, or in violation of any applicable law. Users are prohibited from: (i) modifying the Platform; (ii) engaging in reverse engineering; (iii) bypassing security mechanisms; (iv) using automated scripts or bots; (v) attempting to gain unauthorized access; or (vi) interfering with other users' access to the Platform. Users shall not engage in money laundering, terrorist financing, or other financial crimes. Violations may result in immediate content removal, suspension, termination of accounts, forfeiture of funds, and reporting to authorities.

10. THIRD-PARTY SERVICES

Use of the Platform involves services provided by third parties including Stripe, Shippo, Uber Direct, and Sendbird. By using the Platform, Users agree to those third parties’ respective terms of service. Saha Exchange assumes no liability for service delays, disruptions, or errors attributable to third-party providers. Data is shared with such parties solely to fulfill the service being requested.

11. WARRANTY DISCLAIMER & LIMITATION OF LIABILITY

Saha Exchange provides the Platform and related services on an "as is" and "as available" basis. TO THE FULLEST EXTENT PERMITTED BY LAW, SAHA EXCHANGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. In no event shall Saha Exchange’s total liability to any User exceed the total amount paid by such User to Saha Exchange within the twelve (12) months preceding the claim. This limitation does not apply to claims involving fraud, gross negligence, or violations that cannot be waived under applicable law.

12. INDEMNITY

Users agree to indemnify and hold harmless Saha Exchange and its affiliates from any and all claims, damages, and liabilities arising from or related to (i) use of the Platform, (ii) listing or rental of Items, or (iii) violation of these Terms.

13. TERMINATION

Saha Exchange may suspend or terminate any account without prior notice if it determines, in its sole discretion, that a violation of these Terms has occurred or for any other operational reason. Users may request account closure, but all pending rentals, returns, and Disputes must be resolved prior to closure.

14. DISPUTE RESOLUTION & ARBITRATION

Disputes eligible for small claims court shall be submitted to the appropriate All other small claims court in San Francisco County, California. shall be resolved via binding arbitration administered by JAMS in San Francisco, California. Users agree to resolve Disputes solely on an individual basis and waive the right to participate in any class action or representative proceeding.

15. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Exclusive jurisdiction for any permitted court proceedings lies with the state and federal courts located in San Francisco, California.

16. MODIFICATIONS TO TERMS

Saha Exchange reserves the right to modify these Terms at any time. Changes will take effect thirty (30) days after notice is provided via the Platform and email notification to the email address associated with your account. Your continued use of the Platform after such notice constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform before the changes take effect. Continued use of the Platform following such notice shall constitute acceptance of the revised Terms.
